In this edition, I have added a list of important sections of the Corporations Law relevant to each chapter. I have added some new case summaries, for example the Esanda Case. In addiditon, there are case notes on a number of important new decisions handed down in 1997.
The Simplification Program was replaced in 1997 with the Corporate Law Econimic Reform Program.
The Second Simplifications Bill has been given a new name, the Company Law Review Bill and will probably find its way into the legistation this year.
In addition, changes have been foreshadowed in1998 in the areas of Director’s duties and corporate Governance.
